BIOGRAPHY

Su Rin was called to the Singapore bar in 2016. Prior to joining BR Law Corporation, Su Rin practiced as a corporate and regulatory lawyer at international and foreign law firms. Su Rin’s work covers a wide range of corporate transactions, with particular focus on M&A, funds and financial services regulation.

Su Rin has acted for private equity clients, private companies, listed companies, including state-owned fund clients, in their various M&A and private equity transactions. Her M&A experience spans a large variety of sectors, with a particular focus on tech-related M&A deals. She has overseen key acquisitions in the tech industry, which has enabled her to be at the forefront of industry developments. She has also overseen many complex transactions involving novel commercial and regulatory issues, which has given her a bird’s eye view of many new and exciting developments in areas of rapid growth and development.

Su Rin has closely assisted fund managers on various issues in the lifespan of a fund, from fund formation and structuring, fund raising design, launch of fund, fund restructuring, assisting with the fund’s downstream investments, fund’s exits from portfolio companies to the dissolution of a fund. Su Rin has also worked with investors to set up bespoke fund structures for their various investments, whether through the setting up of a fund with a fund manager, advising on their investments into funds or asset swap arrangements. In terms of fund clientele, Su Rin has served across a broad range of established fund managers and boutique fund managers, as well as acted for state-owned fund clients, family offices and private investors.

In addition, Su Rin has acted for private equity clients (including state-owned fund clients) and private companies (including VCs) in their private equity transactions, both as investor’s counsel as well as company’s counsel. Su Rin’s PE experience includes leveraged buy-outs, venture capital and growth capital transactions, across many different sectors.

Su Rin’s licensing and regulatory work include advising on the regulatory framework surrounding the Securities and Futures Act, Payments Services Act and Financial Advisors Act, financial services-related license applications (including capital markets services (CMS), payments services, trust and custodian services insurance brokerage companies and financial advisory), ongoing licensing obligations and regulated transactions such as initial coin offerings. Some of the issues which she has had experience in advising includes coin offerings during its infancy and issues surrounding payment services at the inception of the payment services regulations (e.g. e-commerce solutions, merchant acquisition and, e-money issuance).

Key Transactions:

  • Acted for sellers in a multi-million dollar cross-border disposal deal involving the disposal of its international freight forwarding and logistics arm (with operations across 12 jurisdictions)
  • Acted for purchaser in a S$220 million cross-border acquisition deal involving the acquisition of a fast moving consumer goods (FMCG) distribution business in Singapore and Malaysia
  • Acted for sellers in a S$230 million disposal deal involving the disposal of self-storage facilities
  • Acted for sellers in a multi-million dollar sale of its steel manufacturing business in Singapore
  • Acted for VNG Corporation in its multi-million dollar investment in the Series A2 fundraising round of Telio, a B2B e-commerce company
  • Acted for a Singapore tech unicorn in multiple transactions, including its cross-border investments, M&A deals and strategic collaborations and joint ventures
