BIOGRAPHY

Ling Man has more than a decade of experience in various aspects of cross-border transactions with a particular focus on Indonesia, Malaysia and Vietnam in addition to Singapore. She also advises on banking/project financing, financial services regulatory and compliance matters, employment and other commercial matters. Some of the key transactions in which she advised recently include the following:

  • Advised clients on several power plant projects to be developed in Indonesia, including CCGT LNG gas-fired and hydro power plant projects along Indonesia’s Comprehensive Economic Corridor within the Belt and Road Initiative valued at over billion dollars. These projects entail collaboration with and investment by Japanese investors, Korean investors, Chinese investors and/or State-Owned Enterprises, advising on feasibility study, engagement of EPC contractors, O&M contractors as well as advising on power purchase agreements with the local authorities. As a crucial part of developing such projects, she also advised and negotiated project financing in the sum ranging from US$240 million to US$1 billion.

 

  • Acted as Singapore counsel in connection with the client’s investment in wind power plant project to be built in Lao, PDR, that will supply and sell electricity to Vietnam.

 

  • Debt restructuring exercise of Indonesian listed company effected by way of scheme of arrangement to restructure senior secured notes (of approximately US$160 million) into restructured facilities, with a combination of Variable Capital Company (VCC) structure.

 

  • Acted as Singapore counsel for proposed IPO on NASDAQ by Vietnamese conglomerate.

 

  • Property funds that invest in the development of smart and sophisticated logistics infrastructure with built-in automation or built-to-suit systems in Korea, Thailand, Malaysia and other SEA countries (in particular, Indonesia and Vietnam). This involved advising clients on their fund structure and documentation, acquisitions/investment and strategic partnerships with an initial capital commitment in the sum ranging from US$100 – US$200 million.

 

  • Series fundraisings in various stages for different businesses. These include advising on share subscription, shareholders’ agreement, convertible instruments, employee share incentive schemes, C-suite employment contract, etc. Investors advised on in recent transactions include one of the world’s largest international mail organisations and a venture capital fund subsidiary owned by an Indonesia listed corporation.

 

  • Cross-border acquisition or sale of companies in a variety of industries ranging up to $300 million consideration, including tech companies, properties, self-storage facilities, retails, FMCG, freight forwarding, oil and gas, agriculture, and fabrication business. There were clients not just from Singapore, but also Indonesia, Vietnam, Thailand, Malaysia, China, Europe and US, and we also advised clients on insuring transactional risks with W&I and Tax insurances.

 

  • Advised and applied for capital markets services licenses to provide capital market products (including OTC derivatives) and financial advisory services as well as Major Payment Institution license under Singapore Payment Services Act regime. Also advising in acquisitions and change of controllers of remittance businesses with SPI / MPI license.
