BIOGRAPHY

Dillion is a corporate lawyer with significant experience advising on a broad range of domestic and cross-border transactions, including mergers and acquisitions, joint ventures, private equity, and venture capital investments. He advises a diverse client base comprising multinational corporations, listed companies, small and medium-sized enterprises, venture capital funds, and high-net-worth individuals across multiple jurisdictions.

Dillion also advises clients on a broad range of general corporate and regulatory matters, including corporate governance, commercial contracts, employment, data protection, regulatory compliance, and other day-to-day corporate advisory matters.

Recent notable matters:

  • Advising Macrovalue Group on its acquisition of the entire share capital of Cold Storage (1983) Pte. Ltd. from DFI Group for approximately S$125 million (subject to adjustments), involving a well-established Singapore grocery and retail business operating the Cold Storage and Giant chains.
  • Advising Cutech Group on the sale of 80% of the shares in various entities within the group to Phenna Group, a global leader in testing, inspection, management system certification, and product certification, for aggregate consideration of more than S$20 million (subject to adjustments).
  • Advising a Vietnamese principal on its S$65 million investment in a multinational technology corporation, in connection with a significant cross-border strategic investment in the technology sector.
  • Advising a leading Indonesian bank in respect of its provision of a credit facility of up to US$130m (with security documentations) to a large MNC with global operations.
  • Advising a SEA-based VC fund, as lead investor, in a Series A investment in a Singapore-based fintech start-up providing payments-related services, as part of the company’s early-stage growth financing.
  • Acted as Singapore counsel for a company that licenses smart solar energy systems software and provides services relating to the design, supply, and installation of solar systems for commercial and industrial use, in its Series B investment round led by a US-based VC fund, in which the VC fund invested approximately US$10 million.
  • Acted as Singapore counsel for a company providing sustainable mobility solutions in the region in its Series D investment round led by an Indian multinational corporation with key businesses in the energy sector, for aggregate subscription consideration of approximately US$70 million.
  • Advising Singapore principals on the establishment of a joint venture company engaged in the generation and distribution of green energy, including solar power and biofuels, as well as the provision of design and consultancy services in energy management and clean energy systems.
  • Advising a Singapore principal on a joint venture pursuant to which the principal would ultimately hold 51% of the shares in two Singapore entities operating in the landscaping and sanitation and maintenance industries.
